Terms of Service

Updated August 21, 2023

Below are our Terms of Service, which outline a lot of legal goodies, but the bottom line is it’s our aim to always take care of both you, as a customer, or as a seller on our platform.

Please read these terms carefully before proceeding any further. These terms tell you who we are, how we will provide our services to you, how a contract comes into existence between us, and other important information. If you think that there is a mistake in these terms, please contact us to discuss.

Who we are and how to contact us

We are Eventecho. We are a registered corporation in the state of Delaware of the United States of America.
Eventecho, a group of people ("Eventecho" or "we" or "us"), operates the Website located at http://www.eventecho.com (the "Site" or the "Website"), and provides services offered through the Site and related mobile applications (collectively, the "Services"). The Services are hosted in the United States.

This Agreement

This Terms of Use Agreement, as may be modified from time to time ("Agreement"), constitutes legally binding terms and applies to your use of the Services. By accessing or using the Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Services, including, without limitation, through a mobile or other wireless device, or otherwise use the Services without being registered) or you are a "Member" (which means that you have registered with the Site). The term "User" refers to a Visitor or a Member. You are authorized to use the Services (regardless of whether your access or use is intended) only if you agree to abide by all applicable laws, rules and regulations ("Applicable Law") and the terms of this Agreement. In addition, in consideration for becoming a Member and/or making use of the Services, you must indicate your acceptance of this Agreement during the registration process. Your use of, or participation in, certain Services may be subject to additional terms, and such terms will be either listed in this Agreement or will be presented to you for your acceptance when you sign up to use such Services.

We reserve the right to modify this Agreement at any time and from time to time, and each such modification shall be effective upon posting on the Services. All material modifications will apply prospectively only. Your continued use of the Services following any such modification constitutes your agreement to be bound by and your acceptance of the Agreement as so modified. It is therefore important that you review this Agreement regularly. If you do not agree to be bound by this Agreement and to abide by all Applicable Law, you must discontinue use of the Services immediately.

1. Eligibility

Use of the Services and registration to be a Member for the Services ("Membership") is void where prohibited. By using the Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 13 years of age or older; and (d) your use of the Services does not violate any Applicable Law.

2. Term

This Agreement, and any posted revision to this Agreement, shall remain in full force and effect while you use the Services or are a Member. You may terminate your Membership at any time, for any reason, by contacting us . By choosing to terminate your Membership, you acknowledge and expressly agree that all of your profile content, photos and other information may be irrevocably deleted. Eventecho may terminate your Membership at any time, for any or no reason, with or without prior notice or explanation, and without liability. Furthermore, we reserve the right, in our sole discretion, to reject, refuse to post or remove any posting (including, without limitation, private messages between you and other Users), or to deny, restrict, suspend, or terminate your access to all or any part of the Services at any time, for any or no reason, with or without prior notice or explanation, and without liability. Even after Membership is terminated, this Agreement will remain in effect, including, without limitation, Sections 5-22.

3. Registration and Fees

In order to access the Services, you are required to fill out the registration form by providing all required information, and choose a username and password that you can modify at any time. While our service is free at this time, Eventecho reserves the right to charge for any portion of the Services and to change its fees (if any) from time to time in its discretion. If Eventecho terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of fees or payments (if any).

4. Password

When you sign up to become a Member, you may also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, email address or password of another Member at any time or to disclose your password to any third party. You agree to notify us immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

5. Use by Members

The Services are for the personal use of Members and may only be used for direct commercial purposes if they are specifically endorsed or authorized by Eventecho. We reserve the right to remove commercial content in our sole discretion. Illegal and/or unauthorized use of the Services, including, without limitation, collecting User information by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Services, is prohibited. Commercial advertisements, affiliate links, and other forms of unauthorized data collection or solicitation may be removed without notice or explanation and may result in termination of Membership privileges. We reserve the right to take appropriate legal action for any illegal or unauthorized use of the Services.

6. Proprietary Rights in Content

By posting any Content on, through or in connection with the Services, you hereby grant to Eventecho a license to use, modify, delete from, add to, publicly perform, publicly display, reproduce, and distribute such Content on, through or in connection with the Services, including, without limitation, distributing part or all of the Services and any Content included therein, in any media formats and through any media channels. After you remove your Content from the Services we will cease distribution as soon as practicable, and at such time when distribution ceases, the license will terminate. The license you grant to Eventecho is non-exclusive, fully paid and royalty-free, sublicensable, and worldwide. You represent and warrant that: (i) you own the Content or otherwise have the right to grant the license set forth in this Section 6, and (ii) the posting of your Content on, through or in connection with the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. 9. Ticketing

As a buyer you can purchase tickets from Eventecho, at a cost determined by the event organizer. As a seller or event organizer you can create tickets for your events on Eventecho. You can set up your payout details via 'Settings' in our mobile application. Once you create a ticket for your event it constitutes your acceptance of our ticketing offer and pricing. If we are unable to supply you with the Services for any reason, we will inform you of this by email and we will not process any transactions.

10. Ticketing Fees and Payouts

In consideration of us providing our Services to you (other than for charity or free events, in which case the consideration shall consist solely of your specifications) you must pay fees calculated according to the pricing quoted on our Website or Mobile applications at the time you create your ticket in accordance with section 9 ("Ticketing") as well as submitting your specifications. Our pricing may change from time to time, but such changes will not affect the Fees for any event tickets for which you have already created in accordance with section 9. Our Fees are exclusive of VAT/GST. Where VAT/GST is payable in respect of some or all of the Services you must pay us such additional amounts in respect of VAT/GST, at the applicable rate, at the same time as you pay the Fees. In order to receive payment for events you organize through the Eventecho platform and in turn to pay for our Services, complete your payout details by going to the 'Settings' area in our mobile applications. You can select one of our third party payout partners listed on our mobile applications (each a “Payout Partner”) or opt for direct bank transfer. You may be required to agree to terms and conditions and the privacy policy of that Payout Partner. You acknowledge that in order to avail of any paid Services made available by Eventecho, you may be required to enter into an agreement with one of our Payment Partners, that we are not a party to those separate agreements and that we are not an affiliate of our Payout Partner. When a buyer or event attendee purchases a ticket we process that transaction via our Payment Processor, Stripe. You acknowledge and agree that we do not control our Payout Partners (including Bank, in the case of a wire-transfer) or Payment Processor or their performance of payment and payout processing services, and that we shall have no liability of any kind for any act or omission (including negligence) of our Payout Partners or Payment Processors any claim, demand, suit, damage, judgment, liability, loss, expense or cost incurred by you in relation to the performance or non-performance of payout or payment processing services by our Payment Partner, other than to the extent to which any of the foregoing may arise from the gross negligence or willful misconduct of Eventecho. We also offer direct bank transfer based on the Payout Details collected from the 'Settings' area in the mobile applications. We shall send requests for payment to attendees in exchange for the tickets which you have contracted to sell to those attendees, such payment to be processed on your behalf by the Payment Processor. Our Fees shall be deducted by the Payment Processor from the sums paid by attendees for those tickets and deposited to us, in which case you expressly agree that the Payment Processor is authorized to deduct our Fees from any sums owed to you; or paid by you to us within 10 days of the issuing of the electronic invoice referred to in section 9. We will send you a monthly electronic invoice summarizing any Fees accrued for your ticket transactions and your expected payout. Payouts will occur two weeks after the electronic invoice is sent. The Billing and Payout Period may change at our discretion.

Any contract entered into and any transaction completed via any third-party website is between you and the relevant third party, and not Eventecho.
